Deal Point: Both parties to a transaction have agreed to all terms of the acquisition save the length of the indemnity supporting the representations and warranties. The buyer requires a 36 month indemnity, while the seller is only willing to provide a 12 month indemnity.
Transactional Insurance Solution: A Reps & Warranties Insurance policy insuring breaches of any representations and warranties of the seller that the buyer first discovers during the time period that is between 12 months after and 36 months after the date of the closing of the transaction is issued.
